PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICE.

1. Eligibility

You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with any and all applicable laws and regulations.

2. Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. 3. The Service & AI Capabilities

3.1. AI Nature of Service. You acknowledge that the Service utilizes Artificial Intelligence ("AI") and machine learning to edit and generate video content. AI is a rapidly evolving technology, and we cannot guarantee that the Service will be error-free or that the AI-generated outputs will always meet your specific expectations. 3.2. Modifications. We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

4. User Content and Ownership

4.1. Your Input Content. You retain all rights and ownership of the videos, images, audio, text, and other materials you upload to the Service ("Input Content"). 4.2. AI Generated Output. Subject to your compliance with these Terms and payment of applicable fees, Ardin assigns to you all right, title, and interest in and to the video content generated by the Service specifically for you ("Output Content"). 4.3. License to Ardin. In order to provide the Service, you grant Ardin a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to host, copy, display, perform, reproduce, and process your Input Content and Output Content for the purpose of:

• (a) Providing and maintaining the Service;

• (b) Improving our AI models and algorithms (unless you have opted out via account settings);

• (c) Complying with legal obligations.

5. Acceptable Use Policy

You agree not to use the Service to generate or share content that:

• Infringes Rights: Violates the intellectual property, privacy, or publicity rights of any third party (including deepfakes of real people without their consent).

• Is Illegal or Harmful: Is unlawful, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense.

• NSFW/Explicit: Contains sexually explicit material or depicts sexual violence.

• Malicious: Distributes viruses, malware, or other malicious code.

Ardin reserves the right to ban any user and delete any content that violates this policy without refund.

6. Fees and Payment

6.1. Subscriptions. Certain features of the Service may require a paid subscription. You agree to pay all fees associated with your subscription plan. 6.2. Authorization. You authorize us (or our third-party payment processor, e.g., Stripe) to charge your payment method for all applicable fees. 6.3. Cancellations. You may cancel your subscription at any time through your account settings. The cancellation will take effect at the end of the current billing cycle. We do not provide refunds for partial subscription periods.

7. Intellectual Property Rights

7.1. Ardin Property. The Service, including its "look and feel" (e.g., text, graphics, images, logos), proprietary content, information and other materials, and all software and code, is proprietary to Ardin and its licensors. 7.2. Feedback. If you provide feedback, suggestions, or ideas regarding the Service, you grant Ardin a perpetual, irrevocable, worldwide license to use such feedback for any purpose without compensation to you.

We respect the intellectual property rights of others. If you believe that material available on the Service infringes your copyright, please notify us at tomnewms@gmail.com with the subject line "Copyright Infringement."

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ARDIN DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING:

• (a) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;

• (b) WARRANTIES THAT THE AI-GENERATED CONTENT WILL BE ACCURATE, RELIABLE, OR UNIQUE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ARDIN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ARDIN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware (or your specific jurisdiction), without respect to its conflict of laws principles. Any dispute arising from these Terms shall be resolved through binding arbitration, except that you may assert claims in small claims court if your claims qualify.

12. Changes to Terms

We may revise these Terms from time to time. If the revision, in our sole discretion, is material, we will notify you via the email associated with your account. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.
